1. Introduction

Welcome to KushAgro!

KushAgro is a digital platform and mobile application operated by Y & V Ventures Ltd., a legally registered company in the Republic of South Sudan (“Company,” “we,” “our,” or “us”). KushAgro is a product and service offering of Y & V Ventures Ltd.

These Terms and Conditions (“Terms”) govern your access to and use of the website located at https://kushagro.app, as well as any related mobile applications, services, features, or content (collectively, the “Platform”).

By accessing or using KushAgro, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately.

2. Nature of the Platform

KushAgro is a marketplace and facilitation platform designed to connect buyers and sellers of agricultural products and services, including but not limited to livestock, farm produce, farm inputs, and agricultural services.

Y & V Ventures Ltd. does not own, buy, sell, store, transport, inspect, or guarantee any products or services listed on the Platform.
All transactions occur directly between users.

We are not a party to any agreement, negotiation, or transaction between buyers and sellers.

3. Eligibility

By using the Platform, you represent and warrant that:

• You are at least 18 years old (or the age of majority in your jurisdiction).

• You have the legal capacity to enter into binding agreements.

• Your use of the Platform complies with all applicable laws and regulations.

4. User Accounts

To access certain features, you may be required to create an account.

You are responsible for:

• Maintaining the confidentiality of your account credentials

• All activities that occur under your account

• Providing accurate and up-to-date information

We reserve the right to suspend or terminate accounts that violate these Terms or applicable laws.

5. Listings, Transactions, and Payments

• Sellers are solely responsible for the accuracy, legality, pricing, and fulfillment of their listings.

• Buyers are solely responsible for verifying listings and completing transactions.

• KushAgro does not guarantee quality, safety, delivery, pricing, or payment completion.

• Payment methods may include cash, mobile money, or third-party payment providers where available.

Any commissions, fees, or service charges applicable to the Platform will be disclosed separately.

6. User Content and Conduct

Users may post content such as listings, messages, reviews, or comments (“User Content”).

You agree that your User Content:

• Does not infringe intellectual property rights

• Is not fraudulent, misleading, defamatory, obscene, or unlawful

• Does not promote illegal or harmful activities

We reserve the right (but not the obligation) to monitor, remove, or restrict any User Content at our discretion.

7. Intellectual Property

All content on the Platform, excluding User Content, is owned by or licensed to Y & V Ventures Ltd. and is protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, or exploit any content without prior written consent.

8. Third-Party Services and Links

The Platform may contain links or integrations with third-party services.
We do not control and are not responsible for the content, policies, or practices of third parties.

Your use of third-party services is at your own risk.

9. Disclaimer of Warranties

The Platform is provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

• Merchantability

• Fitness for a particular purpose

• Accuracy or reliability of listings

• Availability or uninterrupted operation

10. Limitation of Liability

To the fullest extent permitted by law, Y & V Ventures Ltd. shall not be liable for:

• Any indirect, incidental, special, or consequential damages

• Loss of profits, data, or business opportunities

• Disputes between users

• Losses arising from transactions or reliance on Platform content

Our total liability, if any, shall not exceed the amount paid (if any) by you to KushAgro within the preceding 12 months.

11. Indemnification

You agree to indemnify and hold harmless Y & V Ventures Ltd., its directors, officers, employees, and partners from any claims, damages, losses, or expenses arising from:

• Your use of the Platform

• Your violation of these Terms

• Your interactions with other users

12. Termination

We may suspend or terminate your access at any time without notice if you violate these Terms or pose legal or operational risk.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Sudan, without regard to conflict of law principles.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the revised Terms.
